1.1 By creating an account, browsing the Services, or downloading or using our products, you agree to these Terms, the EULA, the Privacy Policy, the Cookie Policy, the Acceptable Use Policy, the Refund Policy, and the DMCA Policy in this repository.

1.2 If you do not agree, do not use the Services.

2.1 You must be at least 18 years old, or have the consent of a parent or legal guardian who agrees to these Terms on your behalf.

2.2 You may not use the Services if you are located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the so-called Donetsk, Luhansk, and Crimea regions of Ukraine) or if you are listed on any U.S. government list of prohibited or restricted parties.

3.1 To purchase or activate products, you may create an account on greenearsaudio.com. Account sign-up collects your name, email address, and password; it requires acceptance of the Privacy Policy and these Terms; and offers an optional opt-in to communications.

3.2 You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@greenearsaudio.com if you suspect unauthorized access.

3.3 You agree to provide accurate, current, and complete information and to keep it updated.

4.1 Your use of the Services is governed by ACCEPTABLE_USE_POLICY.txt, which is incorporated by reference. Violations may result in suspension, termination, and license revocation.

5.1 MERCHANT OF RECORD.

Purchases are processed through the Moonbase storefront at greenears.moonbase.sh. Moonbase is the merchant of record (legal seller) and is responsible for payment, tax collection and remittance, invoicing, and order management. Stripe is the underlying payment processor.

5.2 PRICES AND TAXES.

Prices are shown on the storefront in the applicable currency. Applicable sales tax, VAT, GST, or similar taxes are added or included as required by law. Moonbase is responsible for tax collection.

5.3 ORDER ACCEPTANCE.

An order is accepted only when Moonbase confirms it and a license is issued. We or Moonbase may refuse, cancel, or limit any order at our discretion, including for suspected fraud, payment failure, pricing errors, or sanctions compliance.

5.4 LICENSES.

Each purchase grants a license to the corresponding plugin under the EULA. Licenses are non-transferable except as permitted by the EULA.

5.5 REFUNDS.

See REFUND_POLICY.txt. Refunds are processed by Moonbase; GreenEars sets the refund policy.

6.1 Vouchers, gift codes, and promotional codes are non-transferable, single-use unless otherwise stated, and may not be combined with other offers unless expressly permitted. They have no cash value and expire on the date specified.

7.1 SITE CONTENT.

All content on greenearsaudio.com - text, graphics, audio demos, images, logos, code, designs, presets, and documentation - is owned by GreenEars or its licensors and is protected by U.S. and international copyright, trademark, and other laws.

7.2 TRADEMARKS.

"GreenEars", "GreenEars Audio", the GreenEars logo, and GreenEars product names (including "GreenSwoll") are trademarks of GreenEars Audio LLC. JUCE, VST, AU, AAX, CLAP, AUv3 are trademarks of their respective owners.

7.3 LIMITED LICENSE TO SITE.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the website for your personal non-commercial information and to purchase our products. No other use is permitted.

7.4 NO SCRAPING OR MIRRORING.

You may not scrape, crawl with automated tools, mirror, frame, or systematically download any part of the Services except as permitted by our robots.txt and for non-abusive search-engine indexing. AI/ML training crawlers are not permitted.

8.1 If you submit content to us - including forum posts (if any forum exists), product reviews, feedback messages through the plugin or website, bug reports, or feature requests - you grant GreenEars a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, and create derivative works of that content for the purpose of operating and improving our products and services, including marketing.

8.2 You represent that you own or have the necessary rights to submit such content and that it does not violate any law or third-party right.

8.3 We are not obligated to use, retain, or attribute any user-submitted content.

9.1 The Services may link to third-party websites or services, including the Moonbase storefront. Those services are governed by their own terms and privacy policies. GreenEars is not responsible for their content, accuracy, or practices.

12.1 You agree to defend, indemnify, and hold harmless GreenEars and its affiliates, members, officers, employees, and agents from any third-party claim arising out of your breach of these Terms, your violation of any law or third-party right, or content you submit.

13.1 We may suspend or terminate your account or access to the Services at any time for material breach of these Terms, the EULA, the Acceptable Use Policy, suspected fraud, chargeback, or as required by law.

13.2 You may terminate your account at any time by contacting us or by using Moonbase's account-deletion controls.

13.3 Sections 7, 8, 10, 11, 12, 13.3, 14, and 15 survive termination.

14.1 GOVERNING LAW:

Utah, U.S.A., without regard to conflicts of law principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

14.2 VENUE:

state and federal courts in Utah County, Utah or Salt Lake County, Utah, subject to Section 14.3.

14.3 ARBITRATION (U.S. USERS), CLASS WAIVER, AND OPT-OUT:

the same arbitration agreement, class waiver, and 30-day opt-out procedure set out in Sections 16.3-16.5 of the EULA apply to these Terms.

14.4 NON-U.S. USERS:

if your local mandatory consumer law overrides choice of law, venue, arbitration, or class waiver, those provisions do not apply to you to the extent prohibited.

15.1 We may modify these Terms by posting an updated version. The "Last Revised" date reflects when changes were made. For material changes, we will provide reasonable notice (for example by email or by a prominent site notice). Continued use after the effective date of changes constitutes acceptance.

16.1 ENTIRE AGREEMENT.

These Terms together with the EULA, Privacy Policy, Cookie Policy, Acceptable Use Policy, Refund Policy, and DMCA Policy form the entire agreement.

16.2 SEVERABILITY.

Unenforceable provisions are reformed to the minimum extent necessary; the rest remain in effect.

16.3 NO WAIVER.

Failure to enforce is not a waiver.

16.4 ASSIGNMENT.

You may not assign. We may assign to an affiliate or successor.

16.5 NO THIRD-PARTY BENEFICIARIES.

16.6 FORCE MAJEURE.

Neither party is liable for delays caused by events beyond reasonable control.
